A sole proprietorship daycare cannot be directly sold or transferred to a new owner because the business is legally tied directly to you. To sell a sole proprietorship, transactions typically have to be structured as asset purchases, which triggers major hurdles with Ontario’s Ministry of Education (MOE) licensing and the Canada-Wide Early Learning and Child Care (CWELCC) system.
The Asset Purchase Trap: Why Sole Proprietorships Are Hard to Sell
When a buyer purchases the “assets” of a sole proprietorship (such as equipment, student lists, and goodwill) rather than corporate shares, severe complications arise:
- New MOE License Required: The buyer cannot inherit your operating license. They must apply for a brand-new license from the Ministry of Education, which often forces them to bring an older facility up to strict modern building, fire, and zoning codes (triggering costly renovations).
- Loss of CWELCC Enrollment: Under the CWELCC system, funding and program spots do not automatically transfer through an asset sale. Because new spots under CWELCC are exceptionally difficult to secure due to capped provincial funding, a buyer facing an asset purchase will likely lose the CWELCC designation entirely. Without CWELCC, the daycare loses its primary market appeal.
Your Best Strategic Fix: Incorporate Before You List
To protect your business value and make your daycare attractive to buyers, you need to transition out of a sole proprietorship well before putting it on the market:
- Incorporate as a For-Profit Corporation: Speak with your corporate lawyer and accountant about transitioning your sole proprietorship into a for-profit corporation.
- Consult Your Regional Ministry/SSM (CMSM/DSSAB) Advisor: Discuss corporate restructuring options with your local municipal service system manager or regional ministry advisor. You will need to check how your specific region handles license transfers or corporate updates, and whether you can transition your license and CWELCC enrollment to the new corporate entity with minimal disruption.
- Enable Share Sales: Once structured as a for-profit corporation, a buyer can purchase your corporate shares rather than just the assets. This allows the operational history, the active MOE license, and the CWELCC agreement may remain intact with the business entity, making a smooth acquisition possible.
